Content License Agreement

Effective Date: July 11, 2025

This Content License Agreement (“Agreement”) is a legal contract between you ("Licensee" or "Brand") and ZEEL PROJECT INC. ("Licensor") governing the use and licensing of digital content through the ZEEL PROJECT platform, including 3D models, 3D scenes, textures, and 3D sets ("Licensed Content").

1. Grant of License

ZEEL PROJECT grants you a non-exclusive, non-transferable, worldwide, and perpetual license to use the Licensed Content as specified herein. All rights not expressly granted remain reserved.

You may:

  • Use Licensed Content in visualizations, animations, renderings, or presentations for commercial and non-commercial purposes where the content is part of a broader visual composition (e.g., images, videos).

You may not:

  • Resell, redistribute, sublicense, or share original source files.
  • Upload content to other marketplaces or asset libraries.
  • Use content in AI/ML training datasets or blockchain applications (e.g., NFTs).
  • Use content in logos, trademarks, or branding without written permission.

2. Examples of Permitted and Prohibited Use

Permitted Use:

  • Architectural or product visualizations
  • Motion design or animation projects
  • Design portfolios and educational presentations

Prohibited Use:

  • Distribution of original or modified files to third parties
  • Use on platforms allowing third-party extraction or reuse
  • Including content in downloadable toolkits, templates, or software libraries

3. Brand License to ZEEL PROJECT

By providing content to ZEEL PROJECT, the Brand grants ZEEL PROJECT INC. a non-exclusive, worldwide, royalty-free, sublicensable right and license to host, display, market, distribute, and license the provided content to end-users through the ZEEL PROJECT platform.

The Brand confirms that it holds all necessary rights and permissions to grant this license.

4. Ownership and Intellectual Property

All Licensed Content remains the intellectual property of its creator or brand. This license does not transfer ownership. You may not claim authorship or exclusive rights.

If Licensed Content includes real-world references (e.g., trademarks, recognizable designs), the Licensee is responsible for ensuring compliance with applicable law. Physical reproduction of brand-identifiable elements (e.g., cars, consumer electronics) may require separate permissions.

5. Responsibility of the Brand

The Brand guarantees it possesses all necessary intellectual property rights or licenses for provided content.

The Brand agrees to indemnify and hold ZEEL PROJECT harmless against claims, damages, or legal actions arising from infringement or violation of third-party intellectual property rights or applicable law resulting from content provided by the Brand.

6. Content Moderation and Updates

ZEEL PROJECT reserves the right to review, remove, or restrict access to any content provided by Brands at its sole discretion, particularly in cases of intellectual property infringement, violations of applicable laws, or breach of ZEEL PROJECT’s quality guidelines.

Brands agree to maintain content up-to-date and accurate. If content becomes outdated or inaccurate, the Brand shall promptly notify ZEEL PROJECT and provide necessary amendments.

7. Editorial Use Content

Some content labeled "Editorial Use Only":

  • May be used solely for non-commercial projects (e.g., news reporting, commentary, research).
  • May not be used for advertising, promotional materials, or product marketing without rights holder permission.

8. Access and Subscriptions

  • Access to some Licensed Content may require an active subscription or use of credits, with the exact amount depending on content complexity.
  • You may not share login credentials or grant access to others for downloading content.

9. Termination

This license automatically terminates if you:

  • Violate this Agreement
  • Use content in a prohibited manner
  • Request a refund or initiate a chargeback related to the downloaded content

Upon termination, all Licensed Content must be deleted and may no longer be used in new works.

10. Disclaimers and Limitation of Liability

Licensed Content is provided “as is.” ZEEL PROJECT makes no warranties regarding fitness for a particular purpose or legal clearance for third-party rights.

  • We are not liable for indirect, incidental, or consequential damages.
  • Our maximum liability is limited to the amount paid for related content within the past 12 months.

11. Governing Law and Disputes

This Agreement is governed by the laws of the State of Delaware, United States. All disputes shall be resolved in courts located in Delaware.

ZEEL PROJECT may, at its discretion, offer internal arbitration in licensing disputes.
